2. Scope of Services
MapleBridge Spanish Language School Inc. provides Spanish-language education and related instructional services, which may include, without limitation:
- Private Spanish tutoring for adults, teens, and children;
- Group Spanish classes for beginners through advanced learners;
- Business Spanish training for workplace communication;
- Conversation clubs focused on speaking and listening practice;
- Online Spanish lessons with flexible scheduling;
- Spanish exam preparation and academic support; and
- Corporate language workshops for teams and professionals.
We may provide services in person, online, or through a hybrid format. Specific schedules, levels, course content, fees, duration, and delivery methods may vary by program and will be determined by the applicable enrollment, booking confirmation, course description, or written agreement.
We reserve the right to modify instructional methods, teachers, lesson plans, class size, availability, software platforms, and course materials at our discretion, provided that such changes do not materially reduce the core nature of the service purchased.
3. User Obligations and Responsibilities
By using our services, you agree to:
- Provide accurate, complete, and current information during registration, enrollment, and payment;
- Ensure that you or the student meet any age, skill, or placement requirements for the selected program;
- Attend classes punctually and prepared, including having the required equipment, internet connection, and materials for online lessons;
- Maintain respectful, lawful, and appropriate conduct toward instructors, staff, other students, and third parties;
- Not record, reproduce, distribute, or share lessons or materials unless expressly authorized in writing by MapleBridge Spanish Language School Inc.;
- Comply with all applicable laws, regulations, and policies while attending or using our services;
- Supervise minors as required and ensure that any minor participant follows applicable conduct and safety rules;
- Notify us promptly of any allergies, medical conditions, accessibility needs, or other material concerns relevant to participation, where applicable; and
- Refrain from harassment, discrimination, abuse, cheating, disruptive behavior, or any conduct that interferes with service delivery.
We may suspend or terminate access to services immediately if you violate these Terms, fail to pay amounts due, provide false information, or engage in conduct that we reasonably determine is unsafe, unlawful, or disruptive.
4. Payment Terms and Conditions
Fees for services will be set out in the applicable invoice, registration form, enrollment page, quotation, or written agreement. Unless otherwise stated, all fees are payable in Canadian dollars (CAD).
- Payment may be required in advance, at the time of booking, or according to a payment schedule communicated by us.
- Enrollment may be conditional upon receipt of full or partial payment.
- We may accept payment by credit card, debit card, bank transfer, e-transfer, or other methods we make available from time to time.
- Late or failed payments may result in cancellation, suspension, or withholding of services until payment is received in full.
- You are responsible for any chargebacks, payment processor fees, bank charges, or collection costs incurred due to unpaid, reversed, or disputed transactions, except to the extent prohibited by applicable law.
Unless expressly stated otherwise, fees are exclusive of applicable taxes, including HST or other taxes required by law. Where applicable, such taxes will be added to the amount due.
Prices may change from time to time; however, changes will not affect services already paid for unless otherwise agreed in writing or required by law.
5. Cancellation and Refund Policy
Because our services involve scheduling, instructor allocation, and limited class capacity, cancellation and refund rights are subject to the following policy unless a specific written agreement states otherwise:
- Private lessons: Cancellations or rescheduling requests must be made within the notice period communicated at booking. Missed sessions or late cancellations may be charged in full.
- Group classes and conversation clubs: Enrollment is generally reserved for the full term or session. Partial refunds for missed classes are not typically provided.
- Online lessons: Technical issues caused by the participant’s device, internet connection, or environment do not automatically entitle the participant to a refund or make-up lesson, unless otherwise determined by us in our discretion.
- Corporate workshops: Cancellations must be made in accordance with the written service agreement. Prep work, customization, and reserved dates may be non-refundable.
- Refund requests: Any request for refund must be submitted in writing and will be assessed based on the specific circumstances, the timing of the request, services already delivered, materials provided, administrative costs, and any applicable consumer protection laws in Ontario and Canada.
Where a refund is approved, it will be issued using the original payment method where reasonably possible, less any non-refundable amounts permitted by law or disclosed in advance.
Nothing in these Terms limits any rights you may have under applicable consumer protection laws, including mandatory cancellation or refund rights that cannot be waived.
6. Liability Limitations
To the fullest extent permitted by applicable law, MapleBridge Spanish Language School Inc., including its directors, officers, employees, contractors, instructors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or related to your use of our services.
Without limiting the foregoing, we are not responsible for:
- Any interruption, delay, or inability to access services due to internet outages, software failures, platform issues, third-party service providers, or force majeure events;
- Any injury, loss, theft, damage, or expense arising from your conduct, failure to follow instructions, or use of third-party equipment or platforms;
- Any educational outcome, language proficiency level, certification result, exam score, or employment outcome, unless expressly guaranteed in writing;
- Any content, materials, or services provided by third parties.
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to MapleBridge Spanish Language School Inc. for the specific service giving rise to the claim during the three (3) months immediately preceding the event giving rise to the claim, or CAD $100, whichever is greater, except where such limitation is prohibited by law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, wilful misconduct, or gross negligence where such limitation is not permitted.
7. Intellectual Property Rights

- Record lessons or sessions, including audio, video, screenshots, or screen captures, except where expressly authorized;
- Remove copyright notices or proprietary markings;
- Use our name, logo, or materials for commercial purposes; or
- Claim ownership of any materials or content provided by us.
Any feedback, suggestions, or ideas you provide to us may be used by us without restriction or compensation, to the extent permitted by law.

We handle personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial laws.
By using our services, you consent to the collection, use, and disclosure of personal information as described in our privacy practices and as reasonably necessary to deliver services. This may include information such as names, contact details, billing information, learning preferences, attendance records, and communications.

9. Force Majeure
We shall not be liable for any delay, interruption, or failure in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, fires, floods, storms, epidemics, pandemics, government actions, labour disputes, power outages, internet or telecommunications failures, cyber incidents, supplier disruptions, transportation interruptions, or acts of war, terrorism, or civil unrest.
During a force majeure event, we may suspend, reschedule, modify, or replace services as reasonably necessary. If the event continues for an extended period, we may cancel affected services and provide any refund or credit required by law or as determined under the applicable service arrangement.
10. Changes to Terms
We may update or revise these Terms from time to time to reflect changes in our services, operational practices, legal requirements, or business needs. When we do so, we will post the updated Terms or otherwise provide notice as required by law.
Your continued use of the services after the effective date of any updated Terms constitutes your acceptance of those updated Terms. If you do not agree to the revised Terms, you must stop using our services.
11. Applicable Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to them, your use of our services, or any associated transaction shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute, subject to any non-waivable rights or mandatory consumer protection provisions applicable under law.
